GLASSMAP INC. — INDIVIDUAL CONTRIBUTOR LICENSE AGREEMENT
Version 1.0  |  Effective June 1, 2026
This Agreement is between Glassmap Inc. ("Company") and the individual who signs below ("Contributor").

1. Definitions

"Contribution" means any original work of authorship — including any modifications or additions to an existing work — that you intentionally submit to the Company for inclusion in, or documentation of, any of the Company's Projects. For the purpose of this definition, "submit" means any form of communication sent to the Company or its representatives, including via code-hosting platforms (e.g., GitHub pull requests), issue trackers, mailing lists, chat channels, or email.
"Project" means any software, firmware, documentation, data, or other work owned or managed by Glassmap Inc., including but not limited to the Nexus IAM platform and all repositories under the github.com/glassmap organization.
"Work" means the aggregate of all Contributions that have been or may be submitted to the Company for inclusion in a Project.

2. Grant of Copyright License

Subject to the terms and conditions of this Agreement, you hereby grant to the Company and to all recipients of software distributed by the Company a perpetual, irrevocable, worldwide, non-exclusive, royalty-free copyright license to:

  1. Reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contributions and derivative works thereof, in source or compiled form, in any medium;
  2. Incorporate your Contributions into any product or service offered by the Company, including commercial and proprietary products;
  3. Relicense your Contributions under any open-source, source-available, proprietary, or commercial license that the Company may choose, in its sole discretion, now or in the future, including any change to the Project's primary license; and
  4. Sublicense any and all of the foregoing rights to third parties through multiple tiers of sublicensees.

3. Grant of Patent License

Subject to the terms and conditions of this Agreement, you hereby grant to the Company and to all recipients of software distributed by the Company a perpetual, irrevocable (except as stated in this section), worldwide, non-exclusive, royalty-free patent license to make, have made, use, offer for sale, sell, import, and otherwise transfer the Work. This patent license applies only to those patent claims licensable by you that are necessarily infringed by your Contribution(s) alone, or by the combination of your Contribution(s) with the Work to which such Contribution(s) was submitted.

If any entity institutes patent litigation against you or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that your Contribution(s) or the Work to which you contributed constitutes direct or contributory patent infringement, then any and all patent licenses granted to that entity under this Agreement shall terminate as of the date such litigation is filed.

4. Waiver of Moral Rights

To the fullest extent permitted by applicable law, you irrevocably waive and agree not to assert any moral rights or similar rights in connection with any Contribution, including any rights of attribution, integrity, disclosure, withdrawal, or any right to object to modifications of your Contributions.

5. Ownership — You Retain Copyright

Except for the licenses granted in Sections 2 and 3 above, you retain all right, title, and interest in and to your Contributions. This Agreement does not transfer any copyright ownership from you to the Company.

6. Your Representations and Warranties

You represent and warrant that all of the following are true as of the date of this Agreement and will remain true for each Contribution you submit thereafter:

  1. Original Authorship. You are the sole author of each Contribution, or you have sufficient rights to grant the licenses set forth in this Agreement. Each Contribution does not infringe any copyright, patent, trademark, trade secret, or other intellectual property right of any third party.
  2. No Conflicting Obligations. You are not party to any agreement, and are not subject to any obligation or restriction, that conflicts with or would be violated by your granting the rights set forth in this Agreement or by your performance of any obligations under this Agreement.
  3. Employer Intellectual Property. If your employer or any client has rights to intellectual property you create (including works made for hire or work covered by an IP assignment clause), you represent that either: (a) your employer or client has waived such rights with respect to your Contributions to Company Projects; or (b) your employer or client has separately executed a Corporate CLA with the Company covering your contributions. You agree to notify the Company immediately at legal@glassmap.in if this representation changes.
  4. Third-Party Content. If any Contribution includes materials you did not author (e.g., open-source libraries, code snippets, or content from third parties), you have identified all such materials in your pull request or submission and confirmed that their licenses are compatible with the Project's license. You agree to provide the Company with any information it reasonably requests regarding any such third-party materials.
  5. AI-Assisted Code. If any Contribution includes content generated or materially modified by any artificial intelligence or machine-learning tool (including but not limited to GitHub Copilot, Claude, ChatGPT, Gemini, Cursor, or similar tools), you represent that: (a) you have personally reviewed, understood, and tested all AI-generated portions; (b) to the best of your knowledge, you have the right to submit such content and grant the licenses herein; (c) you have disclosed such AI assistance via the [ai-assisted] tag in the commit message as required by the Company's contribution guidelines; and (d) you are not aware of any claim from any AI tool provider that would restrict the Company's use of such content.
  6. Export Compliance. You are not located in, and are not a national or resident of, any country to which the United States has embargoed goods or services. You are not listed on any United States government list of prohibited or restricted parties, including the Treasury Department's list of Specially Designated Nationals or the Commerce Department's Denied Persons List.
  7. Accurate Information. All information you provide in connection with this Agreement, including your name, email address, GitHub username, and any other identifying information, is true, accurate, complete, and up to date.
  8. Future Contributions. You agree to notify the Company of any change of circumstances that would make any of the above representations inaccurate as applied to a future Contribution.

7. Disclaimer of Warranties

YOUR CONTRIBUTIONS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF A CONTRIBUTION IS WITH THE COMPANY AND ITS USERS.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) any breach of your representations and warranties in Section 6; (b) any claim that your Contribution infringes the intellectual property rights of a third party; or (c) your failure to comply with any obligation under this Agreement.

9. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any dispute, claim, or controversy arising out of or relating to this Agreement or its subject matter shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration shall be San Francisco, California. The arbitrator's award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

10. Miscellaneous

  1. Entire Agreement. This Agreement constitutes the entire agreement between you and the Company regarding your Contributions and supersedes all prior and contemporaneous agreements, representations, and understandings relating to the same subject matter.
  2. Amendments. The Company may update this Agreement from time to time by publishing a new version at https://cla.glassmap.in/individual. Your continued submission of Contributions after notice of a new version constitutes your acceptance of the updated terms.
  3. Severability. If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  4. No Waiver. Failure by the Company to enforce any provision of this Agreement shall not constitute a waiver of the Company's right to enforce that or any other provision in the future.
  5. Electronic Signature. You agree that your electronic signature — including a typed name, checkbox confirmation, or cryptographic signature — constitutes a legally binding signature with the same legal force and effect as a handwritten signature, pursuant to applicable electronic signature laws including the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA).
  6. Audit Trail. The Company may record your submission metadata including your IP address, timestamp, browser user-agent, and the information you provided, solely as an audit trail for CLA compliance.
  7. Assignment. You may not assign this Agreement or any rights or obligations hereunder without the Company's prior written consent. The Company may assign this Agreement without restriction in connection with a merger, acquisition, or sale of all or substantially all of its assets.
